1. Acceptance of Terms
By using the Yappr platform ("the Service"), you agree to these Terms of Service. If you do not agree to these terms, please do not use the Service. In the event of any conflict between the Hebrew and English versions of these terms, the Hebrew version shall prevail.
2. Service Description
Yappr provides an AI-powered platform for creating and managing intelligent voice agents. The Service includes: • Creation and configuration of AI-powered voice agents. • Management of inbound and outbound calls. • Israeli phone numbers (+972) only. • Integrations with business systems via webhooks. • Call analytics and reports.
3. User Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to: • Use the Service for illegal or fraudulent activity. • Make harassment, spam, or unwanted automated calls. • Attempt to access systems or data without authorization. • Infringe on third-party intellectual property rights. • Use the Service in a way that could harm the Service or other users. Third-party responsibilities (end users): It is your sole responsibility to ensure that use of the Service complies with the Privacy Protection Law (1981) and the Wiretap Law (1979). You must obtain all legally required consents from callers (third parties) for the recording, transcription, and AI processing of calls, including informing callers where required that they are speaking with a virtual agent.
5. Voice Agent Behavior — Platform Attribution
Voice agents running on the Yappr platform may identify themselves as "powered by the Yappr voice AI agent platform" if a caller expresses genuine interest in obtaining a voice agent solution for themselves — for example, asking what technology powers the agent, where they can get one, or how the solution works. Agents will not mention Yappr spontaneously or treat any other direct question as a marketing opportunity. If a caller simply asks whether the agent is AI, the agent will confirm this and return to the subject of the call. This behavior is part of the system-level configuration applied to all agents on the platform and cannot be disabled by the operator.
6. Data License for AI Development and Training
Yappr is an AI voice agent company. The quality of our platform depends directly on historical call data. By using the Service, you acknowledge and grant Yappr a non-exclusive, worldwide, perpetual, royalty-free license to use your call data, recordings, and transcriptions — after Anonymization and removal of personally identifying information — for the purposes of improving the platform, research, training and developing AI models, and improving our speech recognition technologies. Opting out: You may withdraw this consent at any time from your company settings (Settings → Company → AI & Data), or by emailing [email protected]. Please note that opting out of AI training results in a 2x usage rate on a per-minute basis, as your data no longer contributes to platform improvements. Changes take effect immediately when made via settings. Anonymized data used for AI training shall constitute intellectual property of Yappr.
7. Billing and Payments
The Service operates on a prepaid balance basis. Billing is per-minute for voice calls and monthly for phone numbers. No refunds: No refunds will be issued for unused credit balances, including upon account cancellation. No refunds will be issued for phone numbers that were not cancelled by the user in a timely manner. Outstanding balances: Unpaid invoices will accrue interest and fees at the maximum rate permitted under applicable Israeli law, from the due date. Yappr reserves the right to suspend accounts with open outstanding balances. Price changes: Yappr reserves the right to change pricing with 30 days advance notice. Credit balances purchased prior to a price change will be honoured at the value at which they were originally purchased.
8. Intellectual Property
All rights in the platform, including software, design, logos, and content, belong to Yappr. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these terms. This license does not include any right to sell, copy, modify, or create derivative works from the platform.
9. Limitation of Liability and Disclaimer of Warranties
The Service is provided "AS IS" and without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Yappr does not warrant that the Service will be uninterrupted, error-free, or that voice agents will perform accurately in all circumstances. Yappr is not liable for any indirect, special, consequential, or punitive damages arising from use of or inability to use the Service. Our total liability to you is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
10. Suspension and Termination
Violations — three-strike policy: As a general practice, Yappr will follow a three-strike approach: (1) first written notice of the violation; (2) second warning if the violation recurs; (3) suspension or termination of account upon a third violation. We reserve the right to extend the cure period at any stage at our discretion. Immediate termination: We reserve the right to suspend or terminate an account immediately, without prior notice and without right of appeal, in cases of: fraud, illegal activity, violation of the Wiretap Law, terrorist activity, sexual harassment, malicious use that could harm third parties, or any other serious violation at our sole discretion. Upon termination: You will lose access to the Service. Upon written request to [email protected], we will provide an export of your data within 30 days of the request. Your data will remain stored in our systems in accordance with our data retention policy, unless you have requested deletion.
11. Indemnification
You agree to indemnify and hold harmless Yappr, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these terms; (b) your violation of any law or third-party rights, including the Privacy Protection Law and the Wiretap Law; (c) the content of calls made through the platform under your account.
12. Force Majeure
Yappr shall not be liable for any delay or failure in Service delivery resulting from circumstances beyond its reasonable control, including: third-party infrastructure failures, natural disasters, war, acts of terrorism, pandemics, governmental actions, internet network failures, or any other force majeure event. During a force majeure event, Yappr's obligations shall be suspended proportionally for the duration required.
13. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or platform notification at least 14 days in advance. Continued use of the Service after changes constitutes acceptance of the updated terms.
14. Governing Law and Jurisdiction
These terms are governed exclusively by the laws of the State of Israel. Any dispute arising from these terms or the Service shall be adjudicated in the competent courts of the Central District, Israel, which shall have exclusive jurisdiction.
15. General Provisions
Entire agreement: These terms constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements, understandings, or representations relating to the subject matter. Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: Failure by Yappr to enforce any right under these terms shall not constitute a waiver of that right in the future. Controlling language: In the event of any conflict between the Hebrew and English versions of these terms, the Hebrew version shall prevail.
